General Definitions

The Company: PartsHnC
The Buyer: Any individual, business, or organization entering into an agreement with the Company, including any designated delivery address provided by the Customer.
The Agreement: The contract for the sale and purchase of goods based on these terms and conditions made between the Customer and the Company.

These terms and conditions are applicable when the buyer (customer) purchases goods included in our quotation from us (the Seller). Upon the buyer accepting the quotation or when the items are delivered (whichever happens first), these terms and conditions are acknowledged and agreed upon. The entire agreement between the buyer and the company is governed by the quotation and these terms and conditions (collectively, the "Contract").

General Interpretation & Definitions

  • A business day refers to any day other than a Saturday, Sunday, or public holiday.

  • Headings within these terms are for convenience only and should not affect their interpretation.

  • The use of the singular form includes the plural and vice versa where applicable.

Description of Goods

  • All descriptions, images, and specifications in our catalogs, brochures, and on our website are provided to give an approximate indication of the goods.

  • While we strive for accuracy in specifications, measurements, prices, and drawings, the actual goods may slightly differ due to ongoing improvements.

  • The description of goods contained in our quotation or sales order is final. 

  • By accepting the order, the buyer confirms they have not relied on any additional representations, promises, or statements from the company regarding the goods, apart from those in the sales documentation.

Orders Process

  • The buyer is responsible for ensuring the accuracy of all orders placed with the company

  • Trial sales or sample returns are not available for products. 

  • Before placing an order, the buyer should carefully review the product specifications.

  • The buyer affirms that they have verified the product's suitability for their needs, including fitting specifications and dimensions, before placing the order.

  • Orders accepted by the Company may be canceled based on stock availability, fraud, or unavailability of the ordered goods at the time of shipment.

Price of Goods

  • The prices listed for goods include applicable sales tax, unless stated otherwise.

  • Unless indicated, the listed price may exclude delivery fees.

  • Discounts, if any, are at the sole discretion of the company.

  • Quoted prices are subject to change, especially if price adjustments are made after the date of the quotation.

  • Full payment is required upon order confirmation, unless otherwise agreed.

Delivery

  • Goods will be delivered to the address specified by the buyer in the purchase order, within the timeframe communicated by the seller.

  • All delivery times provided are estimates.

  • Upon receiving an order, the company will make every reasonable effort to deliver the items within the expected time. However, even with an additional fee for expedited or guaranteed services, no delivery date can be assured. The buyer agrees that company will not be held responsible for any delayed or non-delivered items, nor for any associated costs incurred by the buyer.

  • If delivery is refused or the buyer provides insufficient or incorrect delivery information, the company may store the goods until they can be properly delivered, and charge the buyer for any related storage fees (including insurance).

  • Upon delivery or pickup, the buyer must inspect the goods. Any damages, discrepancies, or missing parts must be reported in writing within 24-48 hours of delivery, along with relevant details and, if possible, photographic evidence. The buyer must allow a reasonable opportunity for the Company or the carrier to inspect the damaged items.
    The buyer is responsible for the return of goods at their own risk and expense.

  • If the goods do not meet the buyer's requirements, they have the right to reject them.

  • The company disclaims any responsibility for delivery delays or failures, regardless of the cause. The times quoted for delivery are merely estimates.

  • Deliveries are made from the company’s existing stock.

Please note that deliveries are made to the curbside only. The buyer is responsible for ensuring that proper arrangements are made to receive the goods at their location. The company assumes no responsibility for any failure on the buyer’s part to verify that the items will fit at the delivery location.

In situations where the delivery premises are deemed unsuitable or unsafe for delivery, or where it is impractical to deliver, the company reserves the right to cancel the delivery.

Upon delivery, the buyer assumes responsibility for inspecting the goods. If no written notice of issues (damages, missing items, or discrepancies) is provided within 24-48 hours of delivery, the company will consider the goods accepted as delivered.

Returns

  • Once an order has been placed and confirmed, cancellations are not allowed.

  • Returns are accepted only within 30 days from the date of order delivered.

  • Goods that were incorrectly ordered can only be returned if authorized by the company in advance. Goods returned without prior authorization will not be accepted. An authorized Return Merchandise Authorization (RMA) number must be obtained before any returns can be processed. Cancellation requests will only be considered via email ([email protected]). Phone calls or chat requests for cancellations will not be processed.

  • To be eligible for return, items must be in their original packaging, undamaged, and unused, including all manuals and accessories.

  • Special order items are not eligible for returns

Returns are only permitted under the following conditions:

  • Return must be pre-approved in writing by the company.

  • A restocking fee may apply, depending on the condition of the returned goods.

  • Returned items must be unused, undamaged, and in their original packaging.

The buyer is responsible for all return shipping costs and must ensure that the returned goods are adequately insured during transit. PartsHnC is not liable for any loss or damage to return items during shipment. The buyer assumes full responsibility for the goods during the return process.

Warranties
The company provides no warranties beyond those offered by the original manufacturers of the products. All goods are sold "as-is" without any implied warranties or guarantees, including any warranty of fitness for a particular purpose or non-infringement. The buyer assumes responsibility for ensuring the goods are suitable for their intended use.

Specifications
The specifications provided for goods on our website and other materials are based on the manufacturers' information. The buyer is responsible for ensuring that the goods meet their needs, including legal or regulatory requirements. The buyer must also confirm that their use of the goods will not infringe upon any third-party intellectual property rights.

Liability
The Company will not be liable for any loss, damage, or injury arising from the use or inability to use the goods, including any indirect, incidental, or consequential damages.
The company specifically disclaims any liability related to errors, omissions, or misinformation in its website, catalogs, or other literature.
The buyer’s statutory rights are unaffected by these terms.

The Company is not responsible for delays or failures in delivery caused by circumstances beyond our control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or transportation disruptions.

Governing Law
All contracts and disputes arising out of or related to these terms and conditions shall be governed by the laws of the United States, with jurisdiction vested in the courts of the state in which the company is based.
